Why This Role is Important to Us:

As a key part of the Legal Department, the Assistant General Counsel, Director ("AGC") will work closely with and support various internal departments including operations, procurement, finance, and marketing, in addition to the Legal and Compliance teams in connection with various transactional and regulatory matters. The AGC will be a significant contributor to CCA's business objectives by providing legal advice on business operations, transactions, and regulatory issues, including compliance with laws, regulations, industry standards and company policies for this growing health care organization with operations in multiple states.

The Assistant General Counsel will work with various internal departments and committees to assure operational and procedural compliance with state and federal regulations.
The Assistant General Counsel will have expertise in one of the following areas:

Employment and Commercial
Provide counsel to CCA primarily regarding employment law related issues and commercial transactional issues.
Insurance Regulatory and Commercial
Provide counsel to CCA primarily regarding managed care and insurance business, regulatory related issues and commercial transactional issues.
Provider Regulatory and Commercial
Provide counsel to CCA primarily regarding provider business, regulatory related issues and commercial transactional issues.



What You'll Be Doing:

Employment and Commercial
  • Accountable for understanding federal and state employment law requirements applicable to CCA, including ADA, ADEA, FMLA, ERISA, FLSA etc.
  • Provide counsel to CCA regarding employment law related issues, including wage and hour, discrimination, wrongful termination, harassment, disability, leave, compensation and benefits plans, and immigration matters.
  • Lead or support confidential internal investigations related to employment matters in collaboration with HR and Compliance Department staff
  • Proactively monitoring and providing guidance related to developing trends in employment case law and federal/state laws and regulations.
  • Provide legal representation in various transactional areas including negotiating and advising on corporate transactions, including mergers, acquisitions, joint ventures strategic partnerships and drafting and negotiating vendor and other contracts.
  • Handle and oversee transactional projects, including conducting due diligence and drafting transactional documents.
Insurance Regulatory and Commercial
  • Provide counsel to CCA regarding the following issues:
  • Accountable for understanding federal and state health care law requirements applicable to CCA, including Medicare and Medicaid rules, HIPAA privacy and security, healthcare reform, legal and regulatory topics relating to CCA's status as a government contractor and integrated health care services delivery organization, Accountable Care Organization requirements, and insurance and managed care regulatory requirements
  • Support the submission of regulatorily required filings
  • Provide legal representation in various transactional areas including negotiating and advising on corporate transactions, including mergers, acquisitions, joint ventures strategic partnerships and drafting and negotiating vendor and other contracts.
  • Handle and oversee transactional projects, including conducting due diligence and drafting transactional documents.
Provider Regulatory and Commercial
  • Provide counsel to CCA regarding the following issues:
    • Accountable for understanding federal and state health care law requirements applicable to CCA, including Medicare and Medicaid rules, HIPAA privacy and security, healthcare reform, legal and regulatory topics relating to CCA's status as a government contractor and integrated health care services delivery organization, fraud and abuse, Anti-Kickback, and Stark/self-referral requirements.
  • Support the submission of regulatorily required filings.
  • Providing legal support for various commercial transactions, including strategic partnerships, anddrafting and negotiating vendor and other contracts.
All Assistant General Counsel
  • Make recommendations to management on how to respond to legal issues or proposed changes in laws and regulations.
  • Serve as a subject matter expert, educational resource, and strategic adviser, to business leaders and colleagues on all aspects of transactions
  • Assists business development teams in responding to RFPs and pursuing growth in additional markets.
  • Assures compliance with all relevant laws and regulations
  • Other duties assigned.


What We're Looking For:

Education Required:
  • Juris Doctorate
Licensure Required:
  • Active member in good standing of the Massachusetts Bar, or the ability to waive into the Bar of the Commonwealth of Massachusetts
Experience Required:
  • Employment and Commercial
    • 4-6 years of employment law experience in a law firm or in-house counsel setting, preferably with or for a health care organization or health plan.
  • Insurance Regulatory and Commercial/Provider Regulatory and Commercial
    • 4-6 years of law experience in an in-house health care setting or law firm setting providing counsel to health care clients.
  • All Assistant General Counsel
    • Experience with analyzing laws, rules and regulations
    • Experience drafting and/or reviewing a high volume of documents, including contracts, transactions documents and legal guidance
Knowledge, Skills and Abilities:
All Assistant General Counsel
  • Excellent writing contract drafting and legal analytical skills
  • Ability to identify risks and propose alternative structures to mitigate risks
  • Ability to communicate effectively with a variety of contacts, including outside attorneys and regulators, senior management, and business associates.
  • Ability to build and maintain positive working relationships with internal and external stakeholders of the organization, as well as regulators
  • The ability to consistently meet deadlines.
  • Exposure to and/or familiarity with corporate transactional matters.
  • Work independently and effectively manages large workload.
  • Must be able to effectively collaborate with business leadership and staff on contracting and other commercial transactions.
  • Work with minimal supervision, work well on a team, demonstrate excellent communication, and develop new areas of competency as needs may arise.
  • Utilize excellent judgment, client counseling, multi-tasking, and decision-making skill.
  • Knowledge and experience with federal and state regulatory laws and regulations applicable to CCA
Employment and Commercial
  • Must be able to effectively collaborate with HR leadership and staff on a wide variety of issues, including employee disciplinary matters and terminations, and the development and deployment of training materials
Insurance Regulatory and Commercial/Provider Regulatory and Commercial
  • Must be able to effectively collaborate with the legal team and business stakeholders on a wide variety health care regulatory issues.
